M&A Counsel (m/f/d)

Your tasks and responsibilities

  • Preparation of acquisitions, divestments and joint ventures by advising on potential transaction structures
  • Preparation, coordination and execution of the legal due diligence
  • Drafting, reviewing, negotiating and executing the transaction documents and other documentation relevant for M&A projects (purchase intent, offer letters, confidentiality agreements, engagement letters/agreements, merger agreements, tender offer documentation, letters of external advisors etc.)
  • Preparation and execution of transaction closings
  • Drafting of the legal related parts of the holding board and supervisory board presentations on M&A projects as well as legal review of the entire presentations
  • Preparation and securing the regulatory approvals required for M&A transactions, in particular merger control approvals and applicable foreign investment acts
  • Legal review of process documentation for M&A projects (teaser, confidential information memorandum, process letters, data room rules etc.)
  • Providing legal advice on all aspects of potential purchase price adjustments, warranty or other claims of Bayer under M&A agreements (including negotiation and enforcement of such claims) as well as defending Bayer against potential claims normally

 

Who you are

  • Completed legal education (with an honors-level examination score) and training with focus on corporate and business law
  • Professional experience in the M&A area 
  • Sound commercial know-how, in particular in the areas of accounting and finance, as well as good understanding of the businesses involved
  • Profound negotiation skills and strong ability to adjust to and succeed in different cultures
  • Extensive experience in leading and coordinating several projects in parallel while being a team player
  • Strong ability to work under pressure, analyze, make decisions quickly, prioritize and deliver results
  • High ability to solve problems and to structure and simplify complex tasks
  • Fluent in English written and spoken
